第一条为了规范零售商的促销行为,保障消费者的合法权益,维护公平竞争秩序和社会公共利益,促进零售行业健康有序发展,根据有关法律法规,制定本办法。
第二条零售商在中华人民共和国境内开展的促销活动适用本办法。
第三条本办法所称零售商是指依法在工商行政管理部门登记注册,直接向消费者销售商品的企业及其分支机构、个体工商户。
本办法所称促销是指零售商为吸引消费者、扩大销售而开展的营销活动。
第四条零售商开展促销活动应当遵循合法、公平、诚实信用的原则,遵守商业道德,不得开展违反社会公德的促销活动,不得扰乱市场竞争秩序和社会公共秩序,不得侵害消费者和其他经营者的合法权益。
第五条零售商开展促销活动应当具备相应的安全设备和管理措施,确保消防安全通道的畅通。对开业、节庆、店庆等规模较大的促销活动,零售商应当制定安全应急预案,保证良好的购物秩序,防止因促销活动造成交通拥堵、秩序混乱、疾病传播、人身伤害和财产损失。
第六条零售商促销活动的广告和其他宣传,其内容应当真实、合法、清晰、易懂,不得使用含糊、易引起误解的语言、文字、图片或影像。不得以保留最终解释权为由,损害消费者的合法权益。
第七条零售商开展促销活动,应当在经营场所的显著位置明示促销内容,促销内容应当包括促销原因、促销方式、促销规则、促销期限、促销商品的范围,以及相关限制性条件等。
对不参加促销活动的柜台或商品,应当明示,并不得宣称全场促销;明示例外商品、含有限制性条件、附加条件的促销规则时,其文字、图片应当醒目明确。
零售商开展促销活动后在明示期限内不得变更促销内容,因不可抗力而导致的变更除外。
第八条零售商开展促销活动,其促销商品(包括有奖销售的奖品、赠品)应当依法纳税。
第九条零售商开展促销活动应当建立健全内部价格管理档案,如实、准确、完整记录促销活动前、促销活动中的价格资料,妥善保存并依法接受监督检查。
第十条零售商开展促销活动应当明码标价,价签价目齐全、标价内容真实明确、字迹清晰、货签对位、标识醒目。不得在标价之外加价出售商品,不得收取任何未予明示的费用。
第十一条零售商开展促销活动,不得利用虚构原价打折或者使人误解的标价形式或价格手段欺骗、诱导消费者购买商品。
第十二条零售商开展促销活动,不得降低促销商品(包括有奖销售的奖品、赠品)的质量和售后服务水平,不得将质量不合格的物品作为奖品、赠品。
第十三条零售商开展有奖销售活动,应当展示奖品、赠品,不得以虚构的奖品、赠品价值额或含糊的语言文字误导消费者。
第十四条零售商开展限时促销活动的,应当保证商品在促销时段内的充足供应。
零售商开展限量促销活动的,应当明示促销商品的具体数量。连锁企业所属多家店铺同时开展限量促销活动的,应当明示各店铺促销商品的具体数量。限量促销的,促销商品售完后应即时明示。
第十五条零售商开展积分优惠卡促销活动的,应当事先明示获得积分的方式、积分有效时间、可以获得的购物优惠等相关内容。
消费者办理积分优惠卡后,零售商不得变更已明示的前款事项;增加消费者权益的变更除外。
第十六条零售商不得虚构清仓、拆迁、停业、歇业、转行等事由开展促销活动。
第十七条消费者要求提供促销商品发票或购物凭证的,零售商应当即时开具,并不得要求消费者负担额外的费用。
第十八条零售商不得以促销为由拒绝退换货或者为消费者退换货设置障碍。
第十九条鼓励行业协会建立商业零售企业信用档案,加强自律,引导零售商开展合法、公平、诚实信用的促销活动。
第二十条单店营业面积在3000平方米以上的零售商,以新店开业、节庆、店庆等名义开展促销活动,应当在促销活动结束后15日内,将其明示的促销内容,向经营场所所在地的县级以上(含县级)商务主管部门备案。
第二十一条各地商务、价格、税务、工商等部门依照法律法规及有关规定,在各自职责范围内对促销行为进行监督管理。对涉嫌犯罪的,由公安机关依法予以查处。
第二十二条对违反本办法规定的行为任何单位和个人均可向上述单位举报,相关单位接到举报后,应当依法予以查处。
第二十三条零售商违反本办法规定,法律法规有规定的,从其规定;没有规定的,责令改正,有违法所得的,可处违法所得3倍以下罚款,但最高不超过3万元;没有违法所得的,可处1万元以下罚款;并可予以公告。
第二十四条各省、自治区、直辖市可结合本地实际,制定规范促销行为的有关规定。
第二十五条本办法由商务部、发展改革委、公安部、税务总局、工商总局负责解释。
第二十六条本办法自2006年10月15日起施行。

第一章 总则

第三条 本办法所称明码标价是指经营者收购、销售商品和提供服务时按照有关规定公开标示商品价格、服务收费标准的行为。

明码议价是指经营者以标明的价格(标准)为最高参考价,同消费者或其他经营者商议后确定交易价格的行为。
